1. THE ORGANISER

1.1 The Divido Leaderboard Campaign (the "Competition") is organised and operated by [FULL LEGAL ENTITY NAME] ("Divido", "we", "us", "our"), a company incorporated under the laws of the Arab Republic of Egypt, with registered address at [REGISTERED ADDRESS], and registered under the General Authority For Investments (GAFI) under registration number [GAFI REGISTRATION NUMBER].

1.2 Divido is regulated by the General Authority For Investments (GAFI) of Egypt. Any investment product offered through the Divido platform is subject to GAFI regulatory requirements. Participation in this Competition does not constitute an investment in any Divido product, nor does it create any financial or contractual obligation beyond the prize described in these Terms.

2. DEFINITIONS

The following defined terms apply throughout these Terms and Conditions:

"Competition"

The Divido Leaderboard Campaign, as described in these Terms, running from the Commencement Date until the Close Date.

"Commencement Date"

March 22, 2025 — the date on which the waitlist and leaderboard are publicly launched.

"Close Date"

Midnight (Cairo time, GMT+2) on May 1, 2025, at which point the leaderboard is locked and no further position changes will be processed.

"Entrant"

Any individual who submits a valid email address to the Divido waitlist at projectdivido.com during the Competition period.

"Referral Link"

The unique personal URL assigned to each Entrant upon registration, used to track referrals for leaderboard position purposes.

"Qualified Referral"

A unique individual who (a) has not previously registered on the Divido waitlist, (b) registers using an Entrant's Referral Link, and (c) provides a valid, verifiable email address.

"Leaderboard"

The publicly displayed ranking of Entrants by Qualified Referral count, updated in real time at projectdivido.com/leaderboard.

"Prize"

A single fractional share in the First Funded Property (as defined below), valued at EGP 25,000, to be allocated to each of the top three Entrants on the Leaderboard at the Close Date.

"First Funded Property"

The first property successfully funded through the Divido platform following the platform launch on April 3, 2025. The identity, location, and full details of the First Funded Property will be confirmed and published on the Divido website upon the property reaching full funding. The Prize share will be allocated in this property regardless of its total value, with each Prize share fixed at EGP 25,000.

"Platform"

The Divido fractional real estate investment platform accessible at projectdivido.com.

"Terms"

These Leaderboard Campaign Terms and Conditions, as amended from time to time in accordance with Clause 18.

3. ELIGIBILITY

3.1 The Competition is open to individuals who are: (a) aged 18 years or over at the time of entry; (b) resident in the Arab Republic of Egypt; and (c) capable of entering into a legally binding agreement under Egyptian law.

3.2 The following persons are not eligible to participate: (a) employees, directors, officers, agents, or contractors of Divido; (b) immediate family members of any person described in 3.2(a), including spouses, parents, siblings, and children; (c) any person who has previously been disqualified from a Divido campaign; and (d) any person acting as a legal representative of any of the above.

3.3 Divido reserves the right to verify the eligibility of any Entrant at any stage of the Competition. Failure to satisfy eligibility requirements will result in disqualification and forfeiture of any Prize.

3.4 Participation in this Competition does not require any purchase, payment, or financial commitment. No entry fee applies. Entry is free.

3.5 By entering the Competition, each Entrant represents and warrants that they meet all eligibility requirements set out in this Clause 3.

4. HOW TO ENTER

4.1 To enter the Competition, an individual must submit a valid email address via the registration form at projectdivido.com from the Commencement Date of March 22, 2025 until the Close Date. Each individual may register only once. Multiple registrations using different email addresses by the same individual are prohibited and will result in disqualification of all associated entries.

4.2 Upon registration, each Entrant will be: (a) assigned a position on the Leaderboard based on their registration sequence; and (b) issued a unique personal Referral Link.

4.3 Entrants may improve their Leaderboard position by generating Qualified Referrals using their Referral Link. Each Qualified Referral advances the referring Entrant's position by 10 places on the Leaderboard.

4.4 Divido's determination of what constitutes a Qualified Referral is final. Referrals generated through automated systems, bots, scripts, bulk email tools, or any mechanism that artificially inflates referral counts will be disqualified. See Clause 10 for full prohibited conduct provisions.

4.5 Leaderboard positions are calculated and displayed in real time. Positions may change at any moment up to the Close Date of May 1, 2025. Divido does not guarantee the accuracy of real-time position displays and the final, definitive Leaderboard will be determined as of the Close Date.

4.6 Entrants are responsible for ensuring their email address is accurate and accessible. Divido cannot be held responsible for Prize notifications that are undelivered due to incorrect email addresses, spam filters, or inbox errors.

5. THE PRIZE

5.1 The Prize consists of one fractional share in the First Funded Property, to be allocated at no cost to each of the three Entrants who occupy positions #1, #2, and #3 on the Leaderboard at the Close Date. Each of the three winners receives one share each.

5.2 Each Prize share is fixed at a value of EGP 25,000. This value is determined by the total valuation of the First Funded Property as assessed by Driven Properties Egypt, Divido's appointed independent valuation partner. The share price of EGP 25,000 is fixed and does not change regardless of the total property valuation — for example, a property valued at EGP 10,000,000 would be divided into fractional shares each priced at EGP 25,000. The value of a fractional share may increase or decrease after the award date in line with market conditions and subsequent independent valuations.

5.3 The Prize is a fractional share constituting documented, GAFI-regulated fractional ownership of Property #1. The Prize does not represent: (a) a cash payment; (b) a voucher or credit; (c) early access to the Divido platform only; or (d) any other form of compensation. There is no cash alternative to the Prize.

5.4 Each Prize winner will receive monthly rental income distributions attributable to their fractional share in the First Funded Property, in accordance with the terms of the Divido platform's standard investor agreement, from the date of share registration in their name.

5.5 Each Prize winner's fractional share will be subject to quarterly independent valuations conducted by Driven Properties Egypt, in accordance with Divido's standard platform terms.

5.6 The Prize is personal to the winner and may not be transferred, sold, or assigned to any third party prior to registration on the Divido platform. Once registered, the share is subject to the standard secondary market and exit terms of the Divido platform.

5.7 In the unlikely event that no property is successfully funded through the Divido platform within 6 months of the platform launch date of April 3, 2025, Divido reserves the right to substitute the Prize with a fractional share of equivalent value (EGP 25,000) in an alternative GAFI-regulated property asset. Winners will be notified of any substitution as soon as reasonably practicable and will have the right to accept or decline the substitute prize within 14 calendar days of notification.

6. WINNER DETERMINATION AND NOTIFICATION

6.1 Winners will be the three Entrants holding positions #1, #2, and #3 on the Leaderboard at midnight Cairo time (GMT+2) on May 1, 2025. The Leaderboard will be locked at the Close Date and no further position changes will be processed after that time. Winners will be publicly announced on May 2, 2025.

6.2 In the event that two or more Entrants hold the same number of Qualified Referrals at the Close Date, the Entrant who achieved that referral count first (as determined by the timestamp of the Qualified Referral that achieved the tied position) will be ranked higher.

6.3 Divido will verify the Qualified Referral counts of the top three Entrants before confirming winners. This verification may take up to [NUMBER] business days following the Close Date.

6.4 Winners will be notified by email to the address provided at registration within [NUMBER] business days of the Close Date. Winners will also be publicly announced on May 2, 2025 on the Divido website and social media channels. The public announcement will use first name and last initial only, unless the winner consents to fuller identification. For any queries regarding the announcement, winners may contact Contact@projectdivido.com.

6.5 Winners must respond to the Prize notification email within [14] calendar days of the notification date. Failure to respond within this period will result in forfeiture of the Prize and Divido reserves the right to award the Prize to the next eligible Entrant on the Leaderboard.

6.6 Winners must provide proof of identity before the Prize is delivered. The name provided at registration must exactly match the legal name on the identity document submitted. Acceptable identity documents are: Egyptian National ID card or valid passport. If the registered name does not match the name on the identity document — for any reason, including the use of a nickname, alias, shortened name, or any variation — the winner will be disqualified and the Prize will be forfeited. See Clause 10.2 and 10.3 for the full identity verification policy. Divido reserves the right to withhold the Prize until satisfactory and matching documentation is provided.

7. PRIZE DELIVERY AND PLATFORM REGISTRATION

7.1 To receive the Prize, each winner must: (a) complete Divido's Know Your Customer (KYC) and Anti-Money Laundering (AML) verification process; (b) execute Divido's standard investor agreement; and (c) create a verified Divido investor account.

7.2 The Prize fractional share will be registered in the winner's Divido account within [NUMBER] business days of the winner completing all steps in Clause 7.1.

7.3 Winners who fail to complete the requirements of Clause 7.1 within [30] calendar days of Prize notification will forfeit the Prize. Divido reserves the right to award a forfeited Prize to the next eligible Entrant on the Leaderboard.

7.4 Once registered, the Prize share is subject to all terms and conditions of the Divido investor platform, including but not limited to the platform fee structure, exit mechanisms, and secondary market terms. Winners will receive a copy of the full platform terms at the time of registration.

7.5 Monthly rental income distributions attributable to the Prize share will commence from the first full calendar month following the date on which the share is registered in the winner's account.

8. ADDITIONAL TIER REWARDS

8.1 In addition to the top-3 Prize described in Clause 5, the following rewards apply to Entrants at the Close Date:

8.2 "Priority allocation" means the right to be offered the opportunity to invest in the First Funded Property before that investment opportunity is made available to the general public. The total number of fractional shares available in the First Funded Property will be determined by the independent valuation conducted by Driven Properties Egypt and will be published on the Divido website upon the property reaching full funding. Priority allocation does not guarantee availability of shares, as total share availability is limited by that valuation. Allocation is offered on a first-come, first-served basis within each priority tier.

8.3 The 0% management fee applies to the management fee component of Divido's standard platform fee structure only. Other fees and charges, as set out in the platform investor agreement, continue to apply. The 0% rate applies for 12 calendar months from the date of first investment and reverts to the standard rate thereafter.

8.4 All tier rewards are subject to the recipient completing Divido's KYC/AML process and creating a verified investor account. Tier rewards that require platform access cannot be delivered to Entrants who do not complete platform registration.

9. PERSONAL DATA AND PRIVACY

9.1 By entering the Competition, each Entrant consents to the collection, storage, and processing of their personal data (including name, email address, and referral activity data) by Divido for the purposes of: (a) administering the Competition; (b) verifying eligibility and Qualified Referral counts; (c) notifying winners; (d) communicating with Entrants about the Divido platform and its launch; and (e) complying with Divido's regulatory obligations under GAFI.

9.2 Divido will not sell or transfer personal data to third parties for marketing purposes without explicit consent. Data may be shared with third-party service providers engaged by Divido solely for the purpose of operating the Competition and the Platform (including KYC/AML verification providers), who are contractually bound to process data only as instructed.

9.3 Entrant data will be retained for [SPECIFY PERIOD — e.g. 5 years] following the Close Date, in accordance with Divido's data retention policy and applicable Egyptian data protection requirements.

9.4 Entrants have the right to access, correct, or request deletion of their personal data by contacting Contact@projectdivido.com. Requests for data deletion made prior to the Close Date will result in disqualification from the Competition.

9.5 Divido's full Privacy Policy is available at privacy.html and is incorporated by reference into these Terms.

9.6 Winners' first names and last initials may be published on Divido's website and social media channels following the Competition close. Winners who object to such publication must notify Divido in writing within [7] calendar days of receiving their Prize notification email.

10. PROHIBITED CONDUCT AND DISQUALIFICATION

10.1 The following conduct is strictly prohibited and will result in immediate disqualification, forfeiture of any Prize or tier reward, and may result in legal action:

(a) Registering more than once using different email addresses or identities;

(b) Registering under a name that does not match the legal name on your National ID card or passport;

(c) Generating referrals using automated tools, bots, scripts, or any artificial mechanism;

(d) Purchasing, trading, or transferring Referral Links or referral credits;

(e) Using spam, bulk email distribution, or any unsolicited mass messaging to generate referrals;

(f) Generating self-referrals or referrals from the same household, device, or IP address using different identities;

(g) Misrepresenting the nature of the Competition or the Divido platform to prospective referrals;

(h) Any conduct that Divido reasonably considers to constitute fraud, manipulation, or abuse of the Competition mechanics.

10.2 Every Entrant is required to register using their legal name as it appears on their National ID card or passport. Divido will verify the identity of all Prize and tier reward recipients before any Prize or reward is delivered. Verification will be conducted by comparing the name provided at registration against a valid government-issued National ID card or passport. Any discrepancy between the registered name and the name on the identity document — including the use of a nickname, alias, abbreviated name, or any variation that does not exactly match the legal name on the ID document — will result in immediate disqualification and forfeiture of the Prize or reward. No exceptions will be made.

10.3 For the avoidance of doubt, Divido's identity verification requirement applies to all reward tiers described in Clause 8, not only to top-3 Prize winners. Any Entrant who cannot produce a matching government-issued identity document will forfeit their allocated reward regardless of their Leaderboard position.

10.4 Divido reserves the right to audit referral data at any time. Any referral activity that Divido determines, in its reasonable discretion, to be fraudulent, automated, or in breach of these Terms will be removed from the Leaderboard and the relevant Entrant disqualified.

10.5 Divido's decision on matters of prohibited conduct, identity verification failures, and disqualification is final and binding. No correspondence will be entered into regarding disqualification decisions.

11. INVESTMENT RISK DISCLOSURE

Legal note: This section contains mandatory regulatory disclosures required for any competition whose prize constitutes a financial instrument. These disclosures must appear verbatim and must not be removed, abbreviated, or relegated to a footnote. Review with your GAFI regulatory counsel before publication.

11.1 The Prize constitutes fractional ownership of a real property asset. Fractional real estate investment is a financial product and carries risk. Entrants and winners should read this Clause 11 carefully.

11.2 THE VALUE OF A FRACTIONAL SHARE IN PROPERTY #1 MAY GO DOWN AS WELL AS UP. THE VALUE OF THE PRIZE AS AT THE DATE OF AWARD (EGP 25,000) IS NOT GUARANTEED TO BE MAINTAINED. PAST PERFORMANCE OF ANY PROPERTY ASSET IS NOT A RELIABLE INDICATOR OF FUTURE PERFORMANCE.

11.3 Rental income from Property #1 is not guaranteed. Rental yield projections provided by Divido are estimates based on current market data and are not guarantees of future income. Actual rental income may be higher or lower than projected.

11.4 Fractional real estate investments are not immediately liquid. While Divido operates a secondary market mechanism, there is no guarantee that a buyer will be available for any fractional share at any given time. Winners should not invest in or rely upon the Prize as a source of immediate liquidity.

11.5 Divido is regulated by the General Authority For Investments (GAFI) of Egypt under registration number [GAFI REGISTRATION NUMBER]. This Competition and the Prize are administered under GAFI oversight. Entrants may direct regulatory complaints to GAFI at [GAFI CONTACT DETAILS].

11.6 Winning this Competition does not constitute financial advice from Divido. Winners are encouraged to seek independent financial advice before making any investment decisions.

12. LIMITATION OF LIABILITY

12.1 To the maximum extent permitted by Egyptian law, Divido shall not be liable for: (a) any loss or damage arising from an Entrant's participation in or inability to participate in the Competition; (b) any technical failure, error, or interruption affecting the Leaderboard, website, or referral tracking system; (c) any loss or damage arising from an Entrant's use of the Prize following delivery; or (d) any indirect, consequential, or special loss or damage of any kind.

12.2 Nothing in these Terms limits Divido's liability for death or personal injury caused by its negligence, or for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable Egyptian law.

12.3 Divido's total aggregate liability to any Entrant arising from or in connection with this Competition shall not exceed the value of the Prize applicable to that Entrant.

13. INTELLECTUAL PROPERTY

13.1 All intellectual property in the Competition (including the Divido name, logo, brand materials, the leaderboard design, and any campaign creative) is owned by or licensed to Divido. Entrants may not use, reproduce, or adapt any Divido intellectual property without prior written consent.

13.2 By sharing the Referral Link or any Divido campaign materials on social media, Entrants grant Divido a non-exclusive, royalty-free licence to reference, share, and amplify such posts for the purpose of promoting the Competition and the Divido Platform, subject to the Entrant's applicable platform privacy settings.

14. AMENDMENT AND CANCELLATION

14.1 Divido reserves the right to amend, suspend, or cancel the Competition at any time if circumstances arise that are outside Divido's reasonable control, including but not limited to technical failure, regulatory direction, force majeure, or fraud that materially compromises the integrity of the Competition.

14.2 Any material amendments to these Terms will be published on Divido's website at least [48] hours before taking effect, except where immediate amendment is required to prevent ongoing fraud or to comply with a regulatory requirement.

14.3 In the event that the Competition is cancelled before the Close Date, Entrants will be notified by email and the leaderboard tier rewards (Clause 8) will be honoured based on positions at the time of cancellation, to the extent reasonably practicable. The top-3 Prize will not be awarded if the Competition is cancelled before the Close Date.

14.4 Divido reserves the right to extend the Close Date or the Competition period at its discretion. Any extension will be announced on the Divido website and communicated to registered Entrants by email.

15. DISPUTES

15.1 Divido's decisions on all matters relating to this Competition — including eligibility determinations, Qualified Referral counts, Leaderboard positions, winner selections, and disqualification decisions — are final and binding.

15.2 Any complaint or dispute relating to this Competition must be submitted in writing to Contact@projectdivido.com within [14] calendar days of the event giving rise to the complaint. Divido will respond within [21] calendar days.

15.3 These Terms and any dispute arising from or in connection with the Competition shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. The parties submit to the exclusive jurisdiction of the Egyptian courts in respect of any such dispute.

16. FORCE MAJEURE

16.1 Divido shall not be in breach of these Terms nor liable for any delay or failure to perform any obligation under these Terms if such delay or failure results from events, circumstances, or causes beyond its reasonable control, including but not limited to acts of God, governmental action, pandemic, civil unrest, or infrastructure failure.

17. GENERAL

17.1 These Terms, together with Divido's Privacy Policy and Platform Terms (when the Platform launches), constitute the entire agreement between Divido and each Entrant with respect to the Competition.

17.2 If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

17.3 These Terms are written in English. In the event of a conflict between an English-language version and any translation, the English-language version shall prevail.

17.4 By registering for the Divido waitlist, each Entrant confirms that they have read, understood, and agreed to be bound by these Terms and Conditions in their entirety.
